3. Client Responsibilities
Clients must:Provide accurate and complete information for service delivery;Obtain explicit opt-in consent from recipients before initiating any marketing campaigns;Promptly honor opt-out requests, ensuring recipients can easily unsubscribe by following provided instructions.
5. Opt-In and Opt-Out Compliance
Opt-In Requirements: Clients must secure explicit opt-in consent from each end-user before sending marketing communications, in accordance with carrier and regulatory requirements. This opt-in process must be clearly communicated to recipients.
Opt-Out Mechanism: We provide an opt-out mechanism in each marketing message. Recipients may stop receiving communications by following the instructions (such as replying "STOP" for SMS). It is the client’s responsibility to ensure that opt-out requests are honored within a reasonable timeframe.
6. Intellectual Property Rights
All intellectual property in the materials we create remains with Vocodo unless otherwise agreed upon. Clients retain rights to any materials they provide for campaigns.
7. Confidentiality
Vocodo and our clients agree to maintain the confidentiality of proprietary information, which includes but is not limited to, marketing strategies, pricing, and technical data.
8. Disclaimers and Limitation of Liability
Vocodo provides services "as is" and does not guarantee specific results. Our liability is limited to the fees paid for the specific service giving rise to any claim.
9. Indemnification
Clients agree to indemnify and hold harmless Vocodo, its employees, and affiliates from claims or liabilities arising from their use of our services or failure to comply with opt-in/opt-out or other regulatory requirements.
10. Termination
Both parties may terminate services with written notice. Clients remain responsible for payment for services rendered up to the termination date.
11. Changes to Terms
Vocodo reserves the right to modify these Terms. Significant updates will be communicated, and continued use of services constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of Florida, USA
